1. Program Overview

The IC Studio AI Pilot Program (the "Program") is a limited-engagement initiative designed to help businesses evaluate the potential of AI-powered solutions. The Program provides a custom proof of concept (PoC) developed specifically for your business needs.

• •Duration: The pilot period lasts 30 calendar days from the date of PoC deployment.
• •Scope: One AI-powered solution (chatbot, automation workflow, or similar) tailored to the client's specified business challenge.
• •Cost: The 30-day pilot period is provided at no charge. Ongoing services after the pilot are subject to a separate agreement.

2. Eligibility

To participate in the Program, the applicant must meet the following criteria:

• •Be a registered business entity with 10 or more employees.
• •Have active customer-facing operations (support, sales, or service delivery).
• •Be willing to provide necessary data, access, and feedback during the pilot period.
• •Have a decision-maker available for weekly check-in meetings.

IC Studio reserves the right to decline applications that do not meet these criteria or that fall outside our current capacity (3-5 projects per quarter).

3. Deliverables

During the pilot period, IC Studio will provide:

• •A custom AI proof of concept (chatbot, automation, or similar solution).
• •Integration with the client's existing systems as agreed during the discovery phase.
• •An analytics dashboard to track usage, performance, and key metrics.
• •Weekly progress reports summarizing performance and recommendations.
• •A dedicated project manager for the duration of the pilot.

4. Client Obligations

The client agrees to:

• •Provide accurate and complete information during the application and discovery phases.
• •Grant necessary access to systems, data, and APIs required for integration.
• •Designate a primary point of contact who is available for weekly meetings and timely feedback.
• •Provide honest and constructive feedback to help improve the solution.
• •Not use the pilot deliverables for purposes other than evaluation without prior written consent.

5. Intellectual Property

During and after the pilot:

• •All source code, models, and technical infrastructure developed during the pilot remain the intellectual property of IC Studio.
• •The client retains full ownership of their data provided during the pilot.
• •If the client proceeds to a full engagement, IP transfer terms will be defined in the subsequent service agreement.
• •The client may not reverse-engineer, copy, or redistribute the pilot deliverables.

6. Confidentiality

Both parties agree to maintain strict confidentiality:

• •All business information, data, processes, and trade secrets shared during the pilot are considered confidential.
• •Neither party shall disclose confidential information to third parties without prior written consent.
• •Confidentiality obligations survive for 2 years after the pilot period ends.
• •IC Studio may reference the client's participation in the pilot program (company name and industry) for marketing purposes, unless the client opts out in writing.

7. Termination

Either party may terminate the pilot engagement:

• •With 7 calendar days' written notice to the other party, for any reason.
• •Immediately, if the other party breaches these terms and fails to remedy the breach within 3 business days of notification.
• •Upon termination, IC Studio will remove the pilot solution from the client's systems within 7 days and securely delete client data within 30 days.

8. After the Pilot

At the conclusion of the 30-day pilot period:

• •IC Studio will present a comprehensive results report including performance metrics, ROI analysis, and recommendations.
• •The client may choose to proceed with a full implementation (subject to a new agreement and pricing).
• •The client may choose to end the engagement with no further obligations or costs.
• •If the client does not proceed, the pilot solution will be deactivated and removed per the termination terms above.
